Welcome to Lodestar, an AI-powered networking coach app designed to help college students build and maintain professional relationships. These Terms of Service ("Terms") govern your access to and use of the Lodestar mobile application, website,
and related services provided by Lodestar Inc. ("we," "us," or "our"). By downloading, installing, or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
Your use of the Service constitutes your agreement to these Terms. You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. If you are using the Service on behalf of an educational institution,
you represent that you have the authority to bind that entity to these Terms.
2. Changes to Terms
We may modify these Terms at any time, for any reason, at our sole discretion. Continued use of the Service after any changes indicates your acceptance of the updated Terms.
3. User Accounts
To access certain features, you may need to create an account. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activities under your account. We reserve the right
to suspend or terminate accounts at our discretion.
If your account is provided through a partnership with a higher educational institution, additional terms from that institution may apply, and we may share limited account information with them as needed to facilitate the partnership.
4. Subscriptions and Payments
Lodestar offers a free version and a Pro subscription for enhanced features. Subscriptions are billed in advance and are non-refundable. We may change subscription pricing or features at any time. Cancellations take effect
at the end of the current billing period. For accounts licensed through educational institutions, payment and access terms may be handled directly by the institution.
5. Use of the Service
You may use the Service for personal, non-commercial purposes related to career networking and development. Currently, user data such as contacts, notes, and preferences is stored locally on your device. We may adjust
data handling practices as the Service evolves.
You grant us a non-exclusive, royalty-free license to use any content you provide (e.g., feedback or suggestions) to operate and improve the Service.
6. Prohibited Conduct
You agree not to:
Use the Service for illegal purposes or in violation of any applicable law.
Interfere with the Service or other users.
Reverse engineer, decompile, or attempt to extract source code from the Service.
Use the Service to harass, spam, or harm others.
7. Intellectual Property
The Service, including its AI algorithms, designs, and content, is owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service
without our written consent.
8. Partnerships with Educational Institutions
We may partner with colleges, universities, or other higher education entities to provide licensed access to students. We may process limited data in compliance with applicable laws, such as FERPA. Institutions
may have access to aggregated usage data for their licensed users.
9. Termination
We may terminate or suspend your access to the Service at any time, without notice or liability, for any reason. Upon termination, your right to use the Service ends immediately.
10. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind. We do not guarantee accuracy, reliability, or uninterrupted access. Advice or suggestions from the Service are not professional
counsel.
11. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall
not exceed the amount you paid us in the past 12 months.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of Delaware.
13. Miscellaneous
These Terms constitute the entire agreement between you and us. If any provision is invalid, the remainder remains in effect.

We collect information you provide, such as account details, networking contacts, calendar integrations, and preferences. Currently, this data is stored locally on your device. We may also collect usage data, device information, and analytics
to improve the Service.
2. How We Use Information
We use your information to provide and personalize the Service, such as generating reminders and suggestions. We may analyze data to refine AI models or troubleshoot issues. For Pro subscriptions, we process payment information securely
through third-party providers.
In partnerships with higher educational institutions, we may use aggregated data to support licensing and reporting, in line with laws like FERPA.
3. Sharing Information
We do not sell your personal information. We may share data with service providers (e.g., for payments or analytics) who are bound by confidentiality. If partnered with an educational institution, we may share limited, anonymized
data with them for account management. We may disclose information if required by law or in connection with a business transaction like a merger.
4. Data Security
We take reasonable steps to protect information, but no system is completely secure. Since data is currently local, you control much of the security on your device.
5. Children's Privacy
The Service is intended for college students and is not directed at children under 13. We do not knowingly collect personal information from children under 13, in compliance with COPPA. If we learn of such collection,
we will delete it.

If you are outside the U.S., your data may be processed in the U.S. We aim to comply with applicable privacy laws, such as COPPA, FERPA, and similar regulations. For users in regions like the EU or California, we
may provide additional rights upon request.
